Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and QKV Token Corp, a corporation organized under the laws of the State of New York, United States (“QKV,” “we,” “us,” or “our”), and govern your access to and use of the website at qkvtoken.com and any subdomains, services, demos, or interfaces operated under that domain (the “Services”). By accessing or using the Services, you agree to be bound by these Terms, by our Privacy Policy, and by our AI Disclosure Statement.

1. Who we are

QKV Token Corp is a New York corporation operating an AI consulting, implementation, integration, and operations practice (the “Business”). The Services include public marketing pages describing the Business; a public capabilities demo (the “Demo”); an authenticated employee portal (the “Portal”); and other interfaces we may publish from time to time.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. Accounts and access

• The Portal is gated by Cloudflare Access. You may sign in only with credentials lawfully assigned to you. You are responsible for the security of your authenticator (passkey, identity-provider account, hardware key, or one-time PIN inbox).
• You agree not to share, sell, or otherwise transfer your Portal access.
• We may suspend or terminate Portal access at any time, with or without notice, for any reason consistent with these Terms or applicable law.

4. Acceptable use

You agree not to:

• Use the Services to violate any applicable law, regulation, or third-party right.
• Scrape, harvest, or use automated means to extract content or technical data from the Services, except for standard search-engine indexing.
• Use any content, copy, brand mark, audio, image, or other asset of the Services to train, fine-tune, evaluate, or benchmark any machine-learning or generative-AI model without our written permission.
• Reverse-engineer, decompile, or attempt to extract source code, model weights, or trade secrets from the Services.
• Interfere with the operation of the Services, defeat security or rate-limit controls, or probe for vulnerabilities outside a written authorization.
• Submit content into any interactive surface (including the Demo or AI Voice Attendant) that is unlawful, defamatory, infringing, harassing, threatening, or that contains another person’s sensitive personal data without their consent.
• Use the Services in a manner that could disable, overburden, or impair them, including by transmitting malware or executing denial-of-service activity.

5. Intellectual property

The Services, including all text, images, audio, video, layouts, code, branding, design tokens, and trademarks (including the QKV mark, the QKV Token mark, and the navy + yellow brand system), are the property of QKV or its licensors and are protected by copyright, trademark, and other intellectual-property laws of the United States and other jurisdictions. All rights are reserved. No license is granted by implication, estoppel, or otherwise.

6. Demos, prototypes, and beta features

The Services may include demonstrations, prototypes, beta features, or non-production interfaces, including but not limited to the AI Voice Attendant Demo. These are provided for evaluation and educational purposes, are subject to change without notice, may be unavailable from time to time, and carry no service-level commitment. Output from a Demo is provided “AS IS” and should not be relied upon for production decisions.

7. AI-generated content

The Services produce, summarize, or transform content using generative AI models. AI-generated output may be inaccurate, may reflect bias present in training data, and may hallucinate facts. You are responsible for independently verifying any output before acting on it. The full disclosure is at /legal/disclosure.

8. Third-party services

The Services rely on or interoperate with third-party providers, including Cloudflare (CDN, DNS, Access), LiveKit (real-time media routing for the AI Voice Attendant), and various AI model providers. Your use of those third-party services is governed by their own terms.

9. Confidentiality (Portal users)

Information you access through the Portal that is marked confidential or that a reasonable person would understand to be confidential must be kept confidential. You may use such information only for the purpose for which it was provided and must protect it with at least the care you use for your own confidential information.

10. Feedback

If you send us suggestions, ideas, or other feedback about the Services, you grant QKV a worldwide, royalty-free, perpetual, irrevocable license to use that feedback for any purpose without obligation to you.

11. Disclaimer of warranties

The Services are provided “AS IS” and “AS AVAILABLE,” without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, or any warranty arising from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, error-free, secure, or free from harmful components.

12. Limitation of liability

To the maximum extent permitted by law, QKV and its officers, directors, employees, affiliates, and licensors are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Services, even if advised of the possibility of such damages. QKV’s total cumulative liability arising out of or related to the Services or these Terms is limited to the greater of (a) one hundred U.S. dollars ($100) or (b) the amount you paid QKV for the Services in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless QKV and its officers, directors, employees, affiliates, and licensors from any claim, demand, loss, liability, or damage (including reasonable attorneys’ fees) arising out of (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any law or third-party right.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason consistent with these Terms or applicable law. Sections that by their nature should survive termination — including intellectual-property, confidentiality, disclaimers, limitation of liability, indemnification, and governing-law — survive termination.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by an updated “Updated” date at the top of this page. For Portal users, we may also send notice to the email address associated with your access. Your continued use of the Services after a change constitutes acceptance of the updated Terms.

16. Governing law and dispute resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising out of or related to the Services or these Terms shall be brought exclusively in the state or federal courts located in the State of New York, and you consent to personal jurisdiction in those courts.

17. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. These Terms, together with the Privacy Policy and AI Disclosure Statement, constitute the entire agreement between you and QKV regarding the Services. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
